1. Acceptance of Terms

By accessing or using adawix.com ("the Site") or any tools offered thereon, you ("User" or "you") agree to be bound by these Terms of Use ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you must immediately discontinue use of the Site.

These Terms constitute a legally binding agreement between you and Adawix ("we," "us," or "our"). We reserve the right to update these Terms at any time in accordance with Section 10 below.

2. Description of Service

2.1 What We Provide

Adawix provides a collection of free, browser-based digital tools including text tools, image tools, PDF tools, financial calculators, and developer utilities. All tools operate entirely within your web browser and do not upload or transmit your files or data to any server.

2.2 Service Nature

The Service is provided free of charge. We do not guarantee continuous, uninterrupted, or error-free access to the Site or any tool. We reserve the right to modify, suspend, or discontinue any tool or feature at any time without notice, and we shall not be liable for such changes.

2.3 "As Is" Basis

The Service is provided on an "as is" and "as available" basis without warranties of any kind. Results produced by our tools are intended as reference outputs and should be independently verified before use in professional, legal, financial, or medical contexts.

3. User Eligibility and Conduct

3.1 Age Requirement

You must be at least 16 years of age to use Adawix. By using the Site, you represent that you meet this requirement. If you are under 16, you may only use the Site with verifiable parental consent.

3.2 Acceptable Use

You agree to use Adawix solely for lawful purposes and in accordance with these Terms. Permitted uses include personal, educational, commercial, and professional tool use consistent with these Terms.

3.3 Prohibited Conduct

You must not:

• Use the Site to process, generate, or distribute content that is illegal, defamatory, obscene, fraudulent, or that infringes the intellectual property rights of others.
• Attempt to reverse-engineer, copy, reproduce, or create derivative works from the Site's source code, design, or tools for commercial redistribution without written permission.
• Circumvent, disable, or interfere with any security, rate-limiting, or access control features of the Site.
• Use automated scripts, bots, scrapers, or crawlers to extract content or overload the Site's infrastructure.
• Impersonate Adawix or its representatives in any communication.
• Upload, process, or generate materials that violate applicable law or third-party rights.

3.4 Enforcement

Violations of these Terms may result in: immediate termination of access (via IP or session blocking), legal action under applicable law, and reporting to relevant authorities where required by law.

4. Intellectual Property

4.1 Ownership

All content on Adawix — including but not limited to source code, design elements, logos, tool interfaces, text content, and graphical elements — is the proprietary property of Adawix, protected by Jordanian Copyright Law No. 22 of 1992 (as amended) and international copyright conventions.

4.2 License to Use

Subject to your compliance with these Terms, Adawix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its tools for personal or internal business purposes. This license does not permit:

• Redistribution of tool outputs for commercial resale to third parties.
• Copying, reproducing, or mirroring the Site's design or functionality for a competing service.
• Sublicensing or transferring your access rights to third parties.

4.3 User Content

You retain full ownership of any files, data, or content you process through Adawix tools. Since all processing is local (in-browser), no license over your content is granted to Adawix.

4.4 Feedback

Any feedback, suggestions, or ideas you submit to us may be used by Adawix without restriction or compensation. No intellectual property rights are claimed over such feedback on your behalf.

5. Disclaimer of Warranties

5.1 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADAWIX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF TOOL RESULTS, AND NON-INFRINGEMENT.

5.2 Tool Results

Tool outputs (e.g., converted files, calculated figures, generated text) are provided for convenience only. Adawix makes no representation that results are accurate, complete, or suitable for any professional, legal, financial, or medical purpose. You are solely responsible for independently verifying any results before reliance.

5.3 Availability

We do not warrant that the Site will be continuously available, free from errors or viruses, or that defects will be corrected.

6. Limitation of Liability

6.1 Scope of Limitation

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ADAWIX'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO ADAWIX IN THE 12 MONTHS PRECEDING THE CLAIM (WHICH, AS THE SERVICE IS FREE, WILL BE ZERO), OR (b) JOD 50 (FIFTY JORDANIAN DINARS).

6.2 Exclusion of Certain Damages

ADAWIX SHALL NOT BE LIABLE FOR: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL; OR COST OF SUBSTITUTE SERVICES — EVEN IF ADAWIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 Foreseeable Damages Exception

Notwithstanding Section 6.2, where applicable law (including Jordanian civil law) does not permit exclusion of liability for foreseeable direct damages caused by our gross negligence or willful misconduct, such damages are not excluded. This exception applies only where: (a) the damage was a direct and foreseeable consequence of a specific breach by Adawix, and (b) you have taken reasonable steps to mitigate the damage.

6.4 Essential Basis

The limitations in this Section reflect a reasonable allocation of risk and are an essential basis of the agreement. Adawix would not provide the Service free of charge without these limitations.

7. Indemnification

You agree to indemnify, defend, and hold harmless Adawix and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: your violation of these Terms; your violation of any third-party rights including intellectual property rights; content you process through the Site that violates applicable law; or your use of the Site in breach of applicable law.

8. Third-Party Links and Services

The Site may contain links to third-party websites or services (e.g., Google Ads). Adawix does not endorse, control, or assume responsibility for the content, privacy practices, or availability of third-party sites. Accessing them is at your own risk.

9. Privacy

Your use of Adawix is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

10. Changes to Terms and Notification

10.1 Right to Modify

We reserve the right to modify these Terms at any time. We will notify you of material changes through:

1. A prominent banner displayed on the Site for at least 30 days before the change takes effect, stating the nature of the change and its effective date.
2. An updated "Last Updated" date at the top of this page.

10.2 Definition of Material Changes

Material changes include: modifications to liability limitations, intellectual property rights, licensing terms, governing law, or dispute resolution mechanisms.

10.3 Acceptance

Your continued use of the Site after the effective date of a material change constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must discontinue use before the effective date.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan, without regard to its conflict of law provisions.

11.2 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

11.3 Arbitration

If informal resolution fails, disputes shall be submitted to binding arbitration in Amman, Jordan, in accordance with Jordanian Arbitration Law No. 31 of 2001 (as amended). The arbitration shall be conducted in Arabic unless both parties agree otherwise. The arbitral award shall be final and binding.

11.4 Exceptions to Arbitration

The following matters are excluded from arbitration and may be brought before the competent courts of Amman, Jordan:

• Claims for emergency injunctive relief to prevent irreparable harm.
• Intellectual property infringement claims.

11.5 EU User Disputes

Users in the EU/EEA may also refer disputes to the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr

12. Force Majeure

Adawix shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet infrastructure failures, or cyberattacks.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Adawix regarding your use of the Service and supersede all prior agreements, representations, or understandings.
